Terms of Service
The agreement between you and Studio 12 LLC for using LegacyDash. Written to be read, not just skimmed — but it's still a legal document, so take your time.

Welcome to LegacyDash. These Terms of Service (the "Terms") govern your access to and use of the LegacyDash website, web application, and mobile apps (together, the "Service"), operated by Studio 12 LLC (United States), together with IP Software SRL (Romania) ("LegacyDash," "we," "us," or "our"). Please read them carefully — by using the Service, you agree to them.
1. Acceptance of these Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of a family, household, or other group, you represent that you are authorized to accept these Terms for that group.
If you do not agree to these Terms, please do not use the Service.
2. Eligibility & your account
You must be at least 18 years old (or the age of legal majority where you live, if higher) to create an account and use the Service. The Service is not directed to children, and we do not knowingly collect information from anyone under 18.
When you register, you agree to provide accurate information and to keep it current. You are responsible for:
- Maintaining the confidentiality of your login credentials and your master password;
- All activity that occurs under your account; and
- Notifying us promptly at hello@legacydash.co if you suspect any unauthorized access.
We offer optional multi-factor authentication (MFA), and we strongly encourage you to enable it. Because of how our encryption works (see Section 4), we cannot reset access to your encrypted records on your behalf.
3. What LegacyDash is — and is not
LegacyDash is a private, encrypted place to organize your important records — accounts, documents, insurance, property, passwords, contacts, and final wishes — and to automatically generate an emergency kit (a crisis card, a PDF binder, and a guided emergency-access flow) so the people you choose can find what they need when it matters.
LegacyDash is a record-keeping and preparedness tool — not a law firm, financial advisor, or estate planner. The Service does not provide legal, financial, tax, accounting, insurance, or estate-planning advice, and nothing in it should be treated as a substitute for a qualified professional.
Our emergency-access feature is a way to share information with people you trust — it is not a will, a trust, a power of attorney, a beneficiary designation, or any legally operative estate document, and it does not replace probate or the formal legal process for transferring assets. For decisions with legal effect, please consult a licensed attorney or advisor in your jurisdiction.
We may add, change, or remove features over time. We'll try to give reasonable notice of material changes that affect how you use the Service.
4. Your encryption keys & recovery phrase
This is the most important section of these Terms. Please read it twice.
LegacyDash uses zero-knowledge encryption. Your records are encrypted on your own device with a key derived from your master password before they are ever stored. As a result, we never receive, hold, or have access to your master password or your recovery phrase, and we cannot read the contents of your encrypted records.
This means we cannot recover your data for you. If you lose both your master password and your recovery phrase, your encrypted records will be permanently inaccessible — to you, to your family, and to us. There is no back door, no "reset my data" button, and no support request that can undo it. The same math that keeps your records private from everyone else also keeps them private from us when the key is gone.
You are solely responsible for safeguarding your master password and your BIP-39 recovery phrase. We strongly recommend that you write your recovery phrase down, store it somewhere safe and offline, and set up emergency access for the people you trust — so your information stays both secure and findable.
To the maximum extent permitted by law, we are not liable for any loss of data, access, or value resulting from a lost, forgotten, or compromised master password or recovery phrase, or from your failure to safeguard them. Choosing zero-knowledge encryption is a deliberate trade: maximum privacy in exchange for sole custody of your key.
5. Acceptable use
You agree to use the Service only for lawful purposes and only for your own records and those of people who have authorized you. You agree not to:
- Store or share content you have no right to store or share, or that is unlawful, fraudulent, or infringing;
- Upload malware, attempt to breach, probe, or disrupt the Service, or interfere with another family's use of it;
- Reverse-engineer, scrape, or attempt to circumvent the encryption, access controls, or rate limits of the Service, except where such restriction is prohibited by applicable law;
- Use the Service to impersonate others or to gain unauthorized access to anyone's account or data;
- Resell, sublicense, or commercially exploit the Service without our written permission.
We may suspend or terminate access that we reasonably believe violates this section or puts the Service or other users at risk.
6. Your content & ownership
Your data is yours. You retain all ownership of the records, documents, and other content you put into LegacyDash ("Your Content"). We do not claim ownership of it, and we do not sell it, mine it, or use it to train models or build advertising profiles.
You grant us only the limited license we need to operate the Service for you — to store, back up, transmit, and process Your Content (which, for your records, is encrypted ciphertext we cannot read) so that we can provide the features you ask for, generate your emergency kit, and deliver it to the people you authorize. This license exists only to run the Service and ends when you delete the content or your account, subject to routine backup-retention windows described in our Privacy Policy.
You are responsible for the accuracy and legality of Your Content and for ensuring you have the right to store it.
7. Subscriptions, billing & refunds
LegacyDash offers a free tier and paid subscription plans. Current plans, prices, and what each includes are shown on our Pricing page.
- Payments & processor. Paid plans are billed through our third-party payment processor, Stripe. We do not store your full card details; they're handled by Stripe under its own terms.
- Auto-renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, using your payment method on file, until you cancel.
- Cancellation. You can cancel anytime from your account's billing settings. Cancellation stops future renewals; your paid features generally remain active until the end of the period you've already paid for, after which your account moves to the free tier.
- Refunds. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods, downgrades, or unused time. [REFUND POLICY — confirm final terms with counsel; e.g. whether to offer a 14/30-day money-back window.]
- Price changes. We may change prices or plan features. We'll give you advance notice of any price increase that affects your renewal, and the new price applies from your next billing period — you can cancel before it takes effect if you don't agree.
- Taxes. Prices may exclude applicable taxes, which may be added at checkout based on your location.
If a payment fails, we may retry it, downgrade your account to the free tier, or suspend paid features after a grace period.
8. Disclaimers & "as is"
We work hard to keep LegacyDash reliable, secure, and available. But to the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure, that defects will be corrected, or that it will meet your specific requirements. You acknowledge again that, because of our zero-knowledge design, we cannot recover encrypted data if you lose your keys (see Section 4).
9. Limitation of liability
To the maximum extent permitted by law, in no event will LegacyDash, Studio 12 LLC, IP Software SRL, or their officers, employees, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of (or inability to use) the Service — even if we've been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of [liability cap — confirm with counsel, e.g. the amount you paid us in the 12 months before the claim, or US $100].
Some jurisdictions don't allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the smallest extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless LegacyDash, Studio 12 LLC, IP Software SRL, and their personnel from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of or related to your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
11. Termination & data export
You can stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users.
You're never locked in. While your account is active, you can export your records and your generated emergency kit at any time. We recommend exporting anything you want to keep before you delete your account or let a subscription lapse. On termination, we delete or de-identify your data in line with our Privacy Policy and applicable retention windows; once deleted, encrypted data cannot be restored.
Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.
12. Governing law & dispute resolution
These Terms are governed by the laws of the State of [GOVERNING STATE — confirm with counsel], United States, where Studio 12 LLC is organized, without regard to its conflict-of-laws rules. ⚑ Flagged for legal: confirm the governing state, the venue/court (or whether to require arbitration and a class-action waiver), and any consumer-protection carve-outs required for users outside the US (including the EU/EEA, given IP Software SRL).
Before filing any formal claim, you agree to first contact us at hello@legacydash.co so we can try to resolve it informally. [DISPUTE RESOLUTION — confirm with counsel: informal-resolution period, arbitration vs. courts, exclusive venue, and any class-action waiver.]
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you (for example, by email or an in-app notice). Your continued use of the Service after changes take effect means you accept the updated Terms. If you don't agree, please stop using the Service and, if you wish, delete your account.
